Chipleader Affiliate Agreement

The following are the terms and conditions of your agreement to become a member of the Chipleader Affiliate Program offered by Absolute Poker and UB.com as well as www.absolutepoker.com and www.ub.com (collectively, Absolute Poker and UB.com) for its AbsolutePoker.com and UB.com websites. By applying to be an affiliate, and placing a link to either AbsolutePoker.com or UB.com from your website, you agree to be bound by all the terms and conditions set forth in this agreement.

1. General Description

Top

1.1 Chipleader derives revenue from players who establish real money accounts and play real money games. Affiliates earn income as a percentage of referred contributions to Chipleader’s revenue, as set forth in this agreement.

1.2 Affiliates may elect to participate in receiving revenue from any, some, or all of the following three types of real money games: (a) poker ring games (Poker Games); (b) casino play (including against-the-house single player blackjack and any other casino games added from time to time) (Casino Games); and (c) multi-player blackjack (including multi-player against-the-house blackjack and Elimination Blackjack multi-player tournaments) (Multi-Player Blackjack Games).

2. Modifying This Agreement

2.1 Chipleader may modify any of the terms and conditions contained in this agreement, at any time and in its sole discretion, by sending you a notice identifying the changes and/or posting the new agreement on its website. Modifications may include, but are not limited to, changes to the referral fees, payment schedule or other rules.

IF ANY CHANGE IN THE AGREEMENT IS UNACCEPTABLE TO YOU, YOU MAY TERMINATE THIS AGREEMENT BY NOTIFYING CHIPLEADER IN WRITING AT SUPPORT@CHIPLEADER.COM OR SUCH OTHER ADDRESS DESIGNATED BY CHIPLEADER ON ITS WEBSITE FROM TIME TO TIME. CONTINUED PARTICIPATION IN THIS PROGRAM FOLLOWING OUR MAKING A CHANGE WILL CONSTITUTE BINDING ACCEPTANCE ON YOUR PART OF THE CHANGE.

2.2 Chipleader may also make changes that affect the value of our customer relationships. These changes may be made at any time and for any reason that Chipleader deems satisfactory without any notice to you. Examples of this kind of change include, but are not limited to: adjusting the rake schedule, modifying the speed of game play, introducing new games, eliminating games, introducing higher or lower value games, changing the design of the interface, etc.

3. Endorsement of Chipleader

3.1 By agreeing to participate in the Chipleader Affiliate Program, you agree to create a unique link from your site to either AbsolutePoker.com or UB.com. The form of such link must be approved, in writing, by Chipleader or by its agent, prior to the implementation of such link. You shall not make any claims, representations, or warranties in connection with Chipleader and you shall have no authority to, and will not, bind Chipleader to any obligation without first obtaining written permission from Chipleader or its authorized agent.

3.2 You agree to all of the terms set forth herein and to positively endorse Chipleader at all times and maintain a site that neither contains, nor links to third party sites which you know, have reason to believe, or cannot objectively be unaware, contain any of the the following: child pornography or other illegal sex acts, promotion of violence, promotion of discrimination based on race, sex, religion, nationality, disability, sexual orientation or age, promotion of illegal activities, other content reasonably deemed offensive by Chipleader or violation of intellectual property rights. You must provide true and complete information to Chipleader at all times; including but not limited to, your identity, contact information, payment instructions, and any other information that Chipleader may reasonably request from time to time, in its sole discretion.

3.3 Chipleader grants you the non-exclusive right to direct individuals to our site and services, in accordance with the terms and conditions of this agreement. You shall have no claims to referral fees or other compensation on business secured or partially secured by or through persons or entities other than you. You also understand that Chipleader may at any time (directly or indirectly) solicit referrals on terms that may differ from those attained here, or operate or contract with websites that are similar to, or compete with, your website.

4. Your Duties; Responsibility for Your Site and Marketing Materials

4.1 You agree that the intention of this affiliate program is to encourage referrals of new customers to Absolute Poker and UB.com. You agree to act in good faith in accordance with this intention. Not by way of limitation, you agree not to join this affiliate program with the intention of you acting as your own affiliate or signing up more than one referred player per household. You agree and acknowledge that Chipleader may set referral volume requirements from time to time by posting such volume requirements to the Chipleader site and may terminate this Agreement without further compensation to you or further notice to you if such volume requirements are not met.

Dual-Rakeback Policy: Poker players are eligible to have two CEREUS Poker Network accounts – one Absolute Poker account and one UB.com account. However, as of March 25th, 2011, any second account created after the abovementioned date will not be eligible for rakeback.

For example, if a player already has an Absolute Poker account that was created on or before March 24, 2011 and they attempt to create a UB account on or after March 25, 2011, the UB account will not be eligible for rakeback – regardless of whether or not the player’s first account was a rakeback account.

Players who have two rakeback accounts (one Absolute Poker account and one UB.com account) that were created on or before March 24, 2011 will continue to earn rakeback on both accounts.

4.2 In order to participate in the program, you must have registered an account with Chipleader. You are prohibited from registering another account for yourself, a member of your immediate family, or your household or any other person that has an existing account on the network under your affiliate account after you have started the program. All affiliate accounts must sign 5 new real money player accounts each year or payments due under this Agreement may be suspended and/or this Agreement may be terminated without further compensation or further notice to you.

4.3 You will, at your own cost and expense, market to and refer Players to the Website, and are required to update your Absolute Poker/UB.com banners once a month. Chipleader will continually up-date and change their banners. If as an affiliate, you change or modify the banner link, you will lose the ability to be tracked and receive any revenue due to that link being broken. If any affiliate has links or banners that are broken, or if you have old banners with promotions that are no longer being offered, all future commissions will be frozen as well as your affiliate account.

4.4 You will be solely responsible for the content and manner of your marketing activities. All marketing activities must be professional, proper and lawful under applicable rules or laws. You represent and warrant that you will not place Banners or Text Links to us on any website, or use any media or medium, which is libelous, discriminatory, obscene, unlawful or otherwise objectively unsuitable, . Under no circumstances may you market to or refer persons less than 21 years of age to the Website, regardless of the age of majority in the location you are marketing.

4.5 You will only use marketing materials that have been provided by us and/or pre approved by us. You will not modify our marketing materials, copyrights, logos, etc., without our written consent. During the term of this Agreement, we grant you a terminable, non-exclusive, non-transferable right to use our logo, trademark and other copyrighted promotional materials for the sole purpose of marketing to and referring Players to the Website. Generally we will provide you, without charge, the guidelines, graphical artwork and permitted text to use in promotional materials. However, CDs and other customized promotional materials provided to you will be AT COST and deducted from Affiliate Compensation payable to you.

4.6 You will not knowingly or unknowingly benefit from any known, unknown, suspected or unsuspected Fraud Traffic. For clarity, we reserve the right to withhold or backout amounts generated by Fraud Traffic from Affiliate Compensation on the Tracking link(s), regardless of whether you participated in or knew about the Fraud Traffic. In the event you knowingly participate in or knowingly benefit from, Fraud Traffic with the intent to defraud the system, then we may terminate this Agreement effective immediately and forfeit any and all Affiliate commissions due to you and we reserve the right to initiate any legal actions as deemed appropriate.

4.7 By opening an account, players will be subject to all of our rules, policies and operating procedures that govern their play activity. We reserve the right to refuse service to any potential player and to close the account of any player, at any time, in our sole discretion. All data relating to the players will remain our sole and exclusive property and you acquire no right to such information, except as expressly stated herein.

4.8 You will not replace, intercept, interfere, hinder, disrupt or otherwise alter in any manner any players' online access, view or usage of, or other aspect of their online experience in a manner that causes or otherwise results in a different experience from that which was otherwise intended by the affiliate in question.

4.9 You will not block, alter, direct or redirect, or substitute, insert or append yourself to, or otherwise intercept or interfere in any manner with, any click-through or other traffic-based transaction that originated from an affiliate webpage (including without limitation any return visit to Absolute Poker or UB.com to which such click-through or other traffic reached or intended to reach) with the result of reducing compensation or other payment earned by or owing to an affiliate or increasing any payment obligation of Absolute Poker or UB.com with respect to any individual transaction.

4.10 You will be removed from the Chipleader Affiliate Program and forfeit any pending commissions if you utilize or distribute software downloads that potentially enable diversions of commission from other affiliates in our program.

4.11 Tracking Links are for your sole use and are not to be assigned to others without our written consent.

4.12 This marketing opportunity is for commercial use only; in no event will you receive compensation on revenue generated on your own player account. You are prohibited from playing at either Absolute Poker or UB through your own tracking link or from the tracking link of an associate with whom you share all or part of your compensation. This includes any individuals or groups from which you receive compensation or remuneration from of any kind. Violation of this provision constitutes fraud traffic. In the event of violation of this section, Chipleader shall have the right to void any earned commissions applicable from such play.

4.13 You agree that any players referred by you to Absolute Poker or UB.com are part of Chipleader’s proprietary customer list and that you have no ownership rights in such customer list. You agree not to independently contact such referred players without Chipleader’s prior written approval. You may not pay or provide any other consideration to any player that you have referred to Chipleader without prior written consent of Chipleader Under no circumstances may you provide rake-back or any other player rewards or incentives (including monetary rewards, gifts, or otherwise) to any player that you have referred to Chipleader unless agreed to by Chipleader in writing.

4.14 You agree not to engage in spam, illegal solicitation, or fraudulent or deceptive solicitation, and the breach of same shall, at Chipleader's discretion, result in the immediate termination of this agreement, and the forfeiture of any monies owing. You agree not to copy the websites of other affiliates, Chipleader, Absolute Poker, UB.com, or other gaming websites, copied websites, or similarly set up shadow websites which are reasonably intended to deceive the reader that the website is owned by any party other than you.

4.15 You are hereby advised that the use of adware, spyware or any other such software to direct traffic to the sites is strictly and expressly forbidden.

4.16 You will be solely responsible for the development, operation and maintenance of your site and for all materials that appear on your site. For example, you will be solely responsible for ensuring that materials posted on your site are not libelous or otherwise illegal. Chipleader disclaims all liability for these matters. Further, you will indemnify and hold Chipleader harmless from all claims, damages and expenses (including, but not limited to, attorneys' fees) relating to the development, operation, maintenance and contents of your site and marketing materials, your performance of this agreement, and any other matter connected hereto, to include, but not be limited to, your obligations under this Agreement. You agree to refrain from utilizing 'spam' (defined as per the industry general standard; and in accordance with the provisions of the "CAN-SPAM Act of 2003") for any, including in the marketing of our products and services (all email marketing must be based on commonly accepted opt-in rules).

4.17 Affiliates will be removed from the Chipleader Affiliate Program and forfeit any pending commissions if they are utilizing or distributing software downloads that potentially enable diversions of commission from other affiliates in our program.

5. License to Use Marks

5.1 Chipleader hereby grants you a non-exclusive, non-transferable license, during the term of this agreement, to use the Chipleader intellectual property marks provided by Chipleader solely in connection with the promotion of Chipleader. This license cannot be sub-licensed, assigned or otherwise transferred by you. Your right to use the marks is limited to, and arises only out of, this license to use Chipleader.com material. You shall not assert the invalidity, unenforceability, or contest the ownership of the marks in any action or proceeding of whatever kind or nature, and shall not take any action that may prejudice our rights in the marks, render the same generic, or otherwise weaken their validity or diminish their associated goodwill. Further, you agree to keep information about Chipleader current on your site.

6. Confidential Information

6.1 During the term of this agreement, you will be exposed to information relating to the business, operations or underlying technology of Chipleader and/or the referral program (“Confidential Information”). You agree to avoid any disclosure to third persons or outside parties or unauthorized use of Confidential Information unless you have our prior written consent. Your obligations with respect to Confidential Information shall survive the termination of this agreement.

7. Fees, Fee Schedule and Payment

7.1 When Poker Games are played, the house is paid rent for the table, commonly referred to as the rake (rake is taken as a percentage of the amount of money played during a hand of poker). Each player's contribution to the rake is tracked, and affiliates earn income as a percentage of all referred players' contributions to total rake as set forth below, unless a specific CPA (Cost Per Acquisition) payment arrangement was negotiated; in which case, the affiliate will be paid a one-time flat fee.

7.2 When Casino Games are played, the house either wins or loses money from the player, commonly referred to as the net hold. Each player's impact upon the net hold is tracked, and affiliates earn income as a percentage of all referred players' impact upon net hold as set forth below. If aggregate net hold is negative (i.e. the house loses money), this deficit amount is generally carried forward as set forth below. A deficit amount is offset against affiliate income received from Multi-Player Blackjack Games, but is not offset against affiliate income received from Poker Games.

7.3 The two types of Multi-Player Blackjack Games offered are multi-player against-the-house blackjack and multi-player tournament blackjack. Affiliates earn income on multi-player against-the-house blackjack in the same manner as Casino Games as set forth in Section 7.2 above. When a real money multi-player tournament blackjack game is played, the house is paid an entry fee from each player in exchange for participating in the blackjack tournament, commonly referred to as blackjack tournament fees. Each player’s contribution to blackjack tournament fees is tracked, and affiliates earn income as a percentage of all referred players contributions to blackjack tournament fees.

7.4 You have the option of receiving fees from Poker Games and/or Casino Games and/or Multi-Player Blackjack Games by so indicating on the Chipleader acceptance form. You will not receive any fees from any of the games that you elect not to participate in.

You will earn referral fees as indicated under the fee schedules below (note that the fee schedules below pertain only to revenue share affiliates; CPA affiliates will be awarded a one-time flat fee payment, subject to the qualification criteria of a minimum of 100 raked hands and a $50 deposit set by your affiliate manager, earned per real money depositing player). ALL REFERRAL FEES SHALL BE REDUCED BY UNEXPECTED LOSSES. Chipleader retains the right to change the fee schedule and method of calculating fees, but Chipleader will employ reasonable efforts to advise you prior to any change. Modifications to the fee schedule are effective when made, notwithstanding failure to notify you. IF ANY CHANGE IN THE FEE SCHEDULE IS UNACCEPTABLE TO YOU, YOU MAY TERMINATE THIS AGREEMENT BY NOTIFYING CHIPLEADER IN WRITING AT SUPPORT@CHIPLEADER.COM. CONTINUED PARTICIPATION IN THIS PROGRAM FOLLOWING THE CHANGE WILL CONSTITUTE BINDING ACCEPTANCE OF THE CHANGE.

7.6 Deposit of payment check, acceptance of payment transfer or acceptance of other payment will be deemed full and final settlement of Affiliate Compensation due for the month indicated. Dispute notices must be received within thirty (30) days of the end of each month for which payment is made, or your right to dispute such report or payment will be deemed waived.

7.7 Payment will be made monthly, approximately by the 10th business day of the following month, and credited to your specified account. Chipleader will accrue credits until such credit(s) equal at least $50 at which point payment is made at the next monthly payment date.

7.8 Method of Payment. All payments will be due and payable in United States Dollars only. Payment will be made by, NETeller (Non US) or by deposit into a Player Account or any other method as we in our sole discretion decide; however we will try to accommodate your preference.

7.9 Referral fees will be based upon our good faith calculation based on the referred player statistics available to Chipleader. Chipleader is not responsible for any fees not properly credited to you that Chipleader is unaware of due to computer error or other reasons. Activity reports will generally be available online by accessing the reports area of the Affiliate Interface. Chipleader will make reasonable efforts to have this link available; however there may be circumstances that it is unavailable such as during technology maintenance and updates.

7.10 The fee schedule for Poker Games and Casino Games is as follows:

Gross Revenue: Revenue – Fees (Processing & Chargeback’s) – Loyalty * Commission= Net Payment

Example: Single payment period of $10,00

Gross Revenue = $10,000
Minus fees (processing & chargebacks) = ($500)
Minus loyalty = ($200)
Equals Revenue = $9,300
Multiply by your commission of 25% = $2,325
Net payment = $2,325

25% - up to $10,000
30% - $10,001 - $20,000
35% - $20,001 +

R = Gross Revenue.

Gross Revenue for Poker Games is the sum total of all of an affiliate's Players' contributions to rake while playing for a single payment period. A Player's contribution to the "rake" shall be determined by a player contributing to the pot. This is known as the Average Contributed Method. If the player folds without contributing to the pot, then that player's rake consideration is zero. The contribution shall be determined by dividing the actual amount of rake generated during a hand by the number of players who contributed to the pot during that hand, and does not include tournament fees.

Gross Revenue for Casino Games is the sum total of all of an affiliate's Players' impact upon net hold for a single payment period. A Players net hold shall be equal to the aggregate amount of money that the Player has lost to the house playing an against-the-house casino game such as blackjack. In the event a Players net hold is negative (i.e. the Player has won money from the house during the period), such amount shall be deducted from Gross Revenue.

D = Total Deduction.

Total Deduction includes but is not limited to: any credits, bonuses or promotional amounts given to Players; any uncollectable revenue attributable to an affiliate's players as determined by Chipleader; and, any Unexpected Losses to Absolute Poker and/or UB.com. For purposes of this Agreement, Unexpected Losses are losses of an unexpected nature and include losses due to fraud or malfeasance on either of Absolute Poker or UB.com, whether the fraud or malfeasance was perpetrated by an affiliate or otherwise. Unexpected Losses may be allocated among affiliates pro rata or in any other manner in the absolute discretion of Chipleader. Chipleader deducts 100% of all bonus dollars.

P = Affiliate Payment.

Affiliate Payment is the net amount the affiliate will receive for a single payment period based on the Payment Plan (In this agreement, single payment period means one month.).

A negative balance for Casino Games or Multi-Player Blackjack Games is carried forward as needed, but does not offset revenue for Poker Games as set forth in Section 7.10 below.

7.11 The fee schedule for Multi-Player Blackjack Games is as follows:

25% - up to $10,000
30% - $10,001 - $20,000
35% - $20,001 +

R = Gross Revenue.

Gross Revenue for Multi-Player Blackjack Games is the sum total of all an affiliate's Players' impact upon net hold plus tournament fees while playing for a single payment period. A Player's net hold shall be equal to the aggregate amount of money that the Player has lost to the house playing an against-the-house casino game such as blackjack. In the event a Player's net hold is negative (i.e. the Player has won money from the house during the period), such amount shall be deducted from Gross Revenue. A Player's contribution to the "tournament fees" shall be the aggregate multi-player blackjack tournament fees paid to the house during the period.

D = Total Deduction.

Total Deduction includes but is not limited to: any credits, bonuses or promotional amounts given to Players; any uncollectable revenue attributable to an affiliate's players as determined by Chipleader; and, any Unexpected Losses to Absolute Poker and/or UB.com. Unexpected Losses may be allocated among affiliates pro rata or in any other manner in the absolute discretion of Chipleader. Chipleader deducts 100% of all bonus dollars.

P = Affiliate Payment.

Affiliate Payment is the net amount the affiliate will receive for a single payment period based on the Payment Plan.

7.12 In the event the total Gross Revenue resulting from both Casino Games and Multi-Player Blackjack Games during a period is negative, the negative amount shall be carried forward to the following period (but will not impact Poker Games affiliate revenue, if any). If a significant negative balance (as determined by Chipleader) is carried forward for more than 2 periods, Chipleader may terminate this Agreement and/or suspend payments under this Agreement upon providing notice to you.

7.13 Chargeback: In the event any chargeback occurs on any player, the full amount of commission paid to the affiliate from the date of deposit until the date the account becomes blacklisted shall be deducted from the affiliate. If the affiliate was paid on a CPA for the player, that CPA amount paid will be deducted from the affiliate

7.14 A payment period is currently one calendar month.

7.15 When a potential customer uses a link with your Tracking Code in it to access Absolute Poker’s or UB.com’s website, they receive a cookie on their computer with your code. This code will generally stay on their computer for 72 hours unless removed or overwritten. If the customer leaves the site and returns within 72 hours they will still generally be recognized as your referral. When they register at Absolute Poker or UB.com during this time period, your customer's account will be tagged with your code. Additionally, if a potential customer enters one of your Bonus Codes during the sign up process, that customer's account will be tagged with your code. Chipleader is not responsible for any problems or errors with the process of tagging an account with your code, and is not responsible if a customer takes action to delete, move, hide, or change the Tracking Code on their computer.

7.16 Deposit of payment or acceptance of payment transfer will be deemed full and final settlement of all fees due for the month indicated unless you sent us a written notice of disagreement with the amount payable within twenty (20) days from the date payment is made. The failure to timely send such notice irrevocably waives your right to contest any fees due for the relevant time period and any prior time period.

8. Term and Termination

8.1 The term of this agreement will begin when you submit the acceptance page and will be indeterminate unless and until either party notifies the other in writing that it wishes to terminate the agreement. Termination may be accomplished by either you or Chipleader for any reason or at any time by providing notice to the other party. Termination without cause shall be effective 30 days from reception of notice, and termination with cause shall be effective immediately upon reception of notice. For purposes of notification, delivery via email is considered a written and immediate form of notification.

8.2 If termination is by Chipleader and is without cause (i.e not for violation of this agreement), referral fees, as subject to modification described above, will continue until activity ceases to generate 2 new depositors per month for a 2 month consecutive time period.

8.3 If termination is initiated by you or is by Chipleader as a result of a violation of this agreement or is due to activity ceasing to generate 2 new depositors per month for a 2 month consecutive time period (i.e. with cause), you will not be entitled to unpaid referral fees, if any earned by you on or prior to the date of termination. Nor will you be entitled to referral fees with respect to play occurring after the termination date.

8.4 You shall remove all Absolute Poker and UB.com banners/icons from your site and disable the link from your site to AbsolutePoker.com and UB.com upon termination of this agreement for any reason.

8.5 All rights and licenses given to you in this agreement shall immediately terminate upon termination of this agreement for any reason.

8.6 Upon termination of this agreement for any reason, Chipleader may withhold your final payment for a reasonable time to ensure that the correct amount is paid.

8.7 Upon termination of this agreement for any reason, you will return to Chipleader any Confidential Information, and all copies of it in your possession, custody, or control, and will cease all uses of any trade names, trademarks, service marks, logos and other designation of AbsolutePoker.com, UB.com, and Chipleader.com.

8.8 Before or after termination of this agreement, Chipleader reserves the right to modify this agreement or the fee schedule at will, as described above, with such modification effective immediately.

9. Relationship of Parties

9.1 Both you and Chipleader are independent contractors and nothing in this agreement will create any partnership, joint venture, franchise, sales representation, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that contradicts anything in this paragraph.

10. Indemnity

10.1 In addition to the indemnification clauses set forth hereinabove, you shall defend, indemnify, and hold Chipleader, its operator(s), directors, officers, employees, software provider, payment processor(s), agents and representatives harmless from and against any and all liabilities, losses, damages, and costs, including reasonable attorney fees, resulting from, arising out of, or in any way connected with (a) any breach by you of any warranty, representation, or agreement; (b) the performance of your duties and obligations under this agreement; (c) your negligence; or (d) any injury caused directly or indirectly by your negligent or intentional acts or omissions, or the unauthorized use of our banners and link or this referral program.

11. Disclaimers

11.1 Chipleader makes no express or implied warranties or representations with respect to the referral program or referral fee payment arrangements (including, without limitation, their functionality, warranties of fitness, merchantability, legality, non-infringement, or any implied warranties arising out of a course of performance, dealing or trade usage).

11.2 Chipleader makes no representation that the operation of our site will be uninterrupted or error-free, and Chipleader will not be liable for the consequences of any interruption.

12. Limitations of Liability

12.1 CHIPLEADER WILL NOT BE LIABLE FOR INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES (OR ANY LOSS OF REVENUE, PROFITS OR DATA) ARISING IN CONNECTION WITH THIS AGREEMENT OR THE REFERRAL PROGRAM, EVEN IF CHIPLEADER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. FURTHER, CHIPLEADER'S AGGREGATE LIABILITY ARISING WITH RESPECT TO THIS AGREEMENT AND THE PROGRAM WILL NOT EXCEED THE TOTAL REFERRAL FEES PAID OR PAYABLE TO YOU UNDER THIS AGREEMENT.

12.2 Nothing in this agreement shall be construed to provide any rights, remedies or benefits to any person or entity not a party to this agreement. Our obligations under this agreement do not constitute personal obligations of any party. Any liability arising under this agreement shall be satisfied solely from the referral fee generated and is limited to direct damages.

12.3 Chipleader may in its sole discretion, with or without notice, use any available means to block or restrict certain players, sign ups, deposits or play patterns so as to reduce the number of fraudulent, or unprofitable transactions, or for any reason whatsoever, including but not limited to daily or monthly purchase limits, address verification or negative and positive credit card databases. Chipleader does not guarantee or warrant the success of such fraud prevention efforts.

13. Governing Law

13.1 This agreement will be governed by the laws of Antigua, without reference to rules governing choice of law. Any action relating to this agreement must be brought in Antigua and you irrevocably consent to the jurisdiction of its courts. YOU AGREE TO BRING ANY ACTION OR LEGAL PROCEEDING RELATED TO THIS AGREEMENT IN ANTIGUA AND IN NO OTHER JURISDICTION.

14. Assignment

14.1 You may not assign this agreement, by operation of law or otherwise, without Chipleader's prior written consent. Subject to that restriction, this agreement will be binding and enforceable against you and Chipleader

15. Non-Waiver/Final Agreement/Interpretation

15.1 This is the final agreement between the parties and supersedes any oral or written communications that you may receive. It shall remain in force until modified by Chipleader. Chipleader's failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this agreement. NO MODIFICATIONS, ADDITIONS, or DELETIONS OF THIS AGREEMENT BY YOU ARE PERMITTED OR WILL BE RECOGNIZED BY CHIPLEADER None of our employees, officers or agents may verbally alter, modify or waive any provision of this Agreement.

15.2 The rule of construction that ambiguities are to be interpreted against the drafter shall not be applied in the interpretation of this Agreement.

15.3 This Agreement is drafted in the English language, and any discrepancies due to language interpretations or translations shall be superseded by the English language meanings.

16. Remedies

16.1 Chipleader's rights and remedies shall not be mutually exclusive, i.e. the exercise of one or more of the provisions of this agreement shall not preclude the exercise of any other provision. You acknowledge, confirm and agree that damages may be inadequate for a breach or a threatened breach of this agreement and, in the event of a breach, or threatened breach of any provision of this agreement, the respective rights and responsibilities of the parties may be enforceable by specific performance, injunction or other equitable remedy.

16.2 Nothing contained in this agreement shall limit or affect any of our rights at law, or otherwise, for a breach or threatened breach of any provision of this agreement, it being the intent of this provision to make clear that our respective rights and obligations shall be enforceable in equity as well as at law or otherwise.

17. Severability/Waiver

17.1 Whenever possible, each provision of this agreement shall be interpreted in such a manner as to be effective and valid under applicable law but, if any provision of this agreement is held to be invalid, illegal or unenforceable in any respect, such provision will be ineffective only to the extent of such invalidity or unenforceability, without invalidating the remainder of this agreement or any other provision. No waiver will be implied from conduct or failure to enforce any rights and any waiver must be in writing to be effective.

18. Operating Agreement and Disclosure

18.1 You understand that gambling laws may vary from city to city, state to state and country to country. YOU HAVE INDEPENDENTLY EVALUATED THE LAWS IN YOUR LOCALE WHICH APPLY TO YOUR ACTIVITIES AND REPRESENT TO CHIPLEADER THAT YOU MAY PARTICIPATE IN ITS AFFILIATE PROGRAM WITHOUT VIOLATING ANY APPLICABLE RULES OR LAWS.

18.2 By submitting your request to become an affiliate, you acknowledge that you have read this agreement and have independently evaluated the desirability of participating in this program and are not relying on any representation, guarantee, or statement other that what is set forth in this agreement.

18.3 YOU ACKNOWLEDGE THAT YOU HAVE READ AND AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, INCLUDING, BUT NOT LIMITED TO, THE LIABILITY LIMITATIONS AND DISCLAIMERS IN CAPITALIZED LETTERS ABOVE.
